• Cookies and similar technologies: session cookies, authentication tokens. We do not use third-party advertising cookies.

• Authentication providers if you log in via a third-party identity service.
• Payment processors (Stripe) may share transaction confirmation data with us.

We share data with trusted vendors who process it on our behalf, including Supabase (database hosting and authentication), Stripe (payment processing), and Vercel (application hosting). These providers are contractually prohibited from using your data for their own purposes.

3.2 Within Your Organization

Within a dealership account, managers and authorized administrators can view data entered by salespeople on their team.

3.3 Legal Requirements

We may disclose information if required by law, court order, or government authority, or to protect the rights, property, or safety of Torqueboard, our users, or the public.

3.4 Business Transfers

If Torqueboard is acquired, merged, or sells assets, your data may be transferred as part of that transaction.

4. Data Retention

We retain your account data for as long as your subscription is active. Upon cancellation, account data is retained for 90 days to allow for reactivation or data export, then deleted. Billing records are retained as required by applicable tax and financial regulations.

5. Data Security

We implement industry-standard technical and organizational measures to protect your data, including encrypted connections (HTTPS/TLS), database-level row security, and role-based access controls. No method of transmission over the internet is 100% secure.

These Terms of Service ("Terms") govern your access to and use of the Torqueboard platform and website operated by Trigo Solutions, LLC. Please read these Terms carefully before using the Service.

By creating an account, accessing the platform, or using any part of the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Description of Service

Torqueboard is a subscription-based SaaS platform designed for automotive dealerships. The Service provides real-time sales leaderboards, customer queue management, floor activity tracking, team communication tools, deal logging, and related sales management features.

2. Eligibility

You must be at least 18 years old and have the authority to bind the dealership or business entity on whose behalf you are registering.

3. Accounts and Access

You must provide accurate, current, and complete information when registering. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Dealership accounts may include multiple users at the subscription tier's user limit. Notify us immediately at support@torqueboard.online if you suspect unauthorized access.

4. Subscriptions and Billing

Subscriptions are billed in advance on a monthly or annual basis per dealership rooftop. By providing payment information, you authorize Torqueboard (via Stripe) to charge your payment method on a recurring basis. All fees are non-refundable except as required by law. If a payment fails, access to the Service may be suspended after 7 days of non-payment. Data is retained for 90 days following suspension. You may cancel at any time; cancellation takes effect at the end of the current billing period.

5. Acceptable Use

You agree not to use the Service for any unlawful purpose; share credentials with individuals outside your dealership; reverse-engineer or extract source code from the platform; upload malicious code; scrape or systematically extract data; interfere with platform security; or store or transmit personal data in violation of applicable privacy laws.

6. Customer Data

All customer and dealership data you enter into the platform ("Customer Data") remains your property. Torqueboard does not claim ownership of Customer Data. You grant Torqueboard a limited license to store, process, and display Customer Data solely to deliver the Service to you. You are solely responsible for the accuracy, legality, and appropriateness of all Customer Data.

7. Intellectual Property

The Service, including its design, software, features, logos, and content created by Torqueboard, is owned by Trigo Solutions, LLC. These Terms do not grant you any rights to use Torqueboard's trademarks, logos, or branding without prior written permission.

8. Availability

Torqueboard strives to maintain platform availability but does not guarantee uninterrupted access. We are not liable for downtime caused by third-party infrastructure providers, force majeure events, or factors outside our reasonable control.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TORQUEBOARD DOES NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR THAT DEFECTS WILL BE CORRECTED.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TORQUEBOARD'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID IN THE 12 MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL TORQUEBOARD BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

11. Indemnification

You agree to indemnify, defend, and hold harmless Trigo Solutions, LLC and its officers, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service, your violation of these Terms, your Customer Data, or your violation of any third-party rights.

12. Term and Termination

Either party may terminate for material breach with 30 days' written notice if the breach is not cured. Torqueboard may terminate or suspend access immediately for violations of the Acceptable Use policy or non-payment.

13. Governing Law

These Terms are governed by the laws of the State of Texas. Disputes shall be resolved through binding arbitration administered under AAA rules in Houston, Texas, except that either party may seek injunctive relief in a court of competent jurisdiction for IP or confidentiality violations.

14. Changes to These Terms

We may update these Terms from time to time with at least 30 days' notice via email or in-app notice.
